NEVIS LLC MANAGEMENT

Nevis is an excellent jurisdiction in which to open a Limited Liability Company (LLC). The Nevis Limited Liability Company Ordinance was passed in 1995 and has become very popular.

The Offshore LLC is a corporate vehicle designed primarily for sole proprietors or business partnerships. A partner (member) of an LLC is not personally liable for the debts or liabilities of the LLC. Each member's liability is limited to the amount of capital that such member has contibuted to the LLC. A member's profit and remuneration is governed either by the member's ownership in the LLC or by unanimous agreement amongst the members of the LLC.

Management of the LLC is vested in the members of the LLC, in proportion to their ownership, or as otherwise agreed amongst the members. A member of the LLC may be appointed to manage the LLC or an outside Manager may be appointed. The members of the LLC may themselves draft and agree upon an Operating Agreement.

The operations of the LLC are governed by the Operating Agreement. The Operating Agreement is drafted by and agreed to by the members and it can be as simple or as comprehensive as they desire. ASSET PROTECTION

Nevis is a traditional offshore jurisdiction in business since 1984. It is well known as a stable, secure and private offshore center, with total exemption from taxes.

Nevis is part of the two island state of St. Kitts & Nevis. It is an independent, sovereign English speaking nation, located in the Eastern Caribbean.

The Confidential Relations Act of 1985 guarantees the confidentiality of Nevis offshore LLCs and bank accounts. Offshore LLCs incorporated in Nevis are free of all taxes. Salaries, dividends and interest may be distributed free of tax and there are no capital gains or inheritance taxes. There is no requirement to disclose the beneficial owner of the company. There are no minimum capital requirements.

The company may conduct business and maintain bank accounts anywhere, have domiciliation facilities in Nevis and administer or manage its offshore business affairs from Nevis or any other country.

There is no requirement for books or audited reports to be presented to any authorities, and no annual meeting is required.

St. Kitts & Nevis is an independent, sovereign nation and will not be affected by the current and future UK/EU legislation impacting the British Dependant Territories, the Isle of Man, the Channel Islands and Ireland.

OFFSHORE LEGISLATION

Offshore LLCs in Nevis are incorporated under the Nevis Limited Liability Company Ordinance Act of 1995 and amendments, and privacy is protected by the Confidential Relations Act of 1985.

An LLC incorporated under this Act may engage in any legal business. A licence is required to engage in the business of banking, insurance, assurance, re-issuance, fund management, collective investment schemes or any other activity which is associated with the banking or insurance business.

A company incorporated in Nevis has the same powers as a natural person.

Names requiring consent or a licence are: banks, building society, savings, loans, insurance, assurance, re-insurance, fund management, investment fund, municipal, Chamber of Commerce, University or their foreign equivalents.

The minimum number of members is one. The LLC may be managed by its members or by an outside appointed Manager. Maritime International Limited provides an outside appointed Manager, if desired, at no additional charge. The appointed Manager manages the LLC at the specific direction of the members of the LLC.

No annual meetings of the members are required.

GENERAL INFORMATION ON NEVIS

Nevis is part of the twin island nation of St. Kitts & Nevis. Nevis is the smaller of the two islands, but has a well established position as a major offshore center.

St. Kitts & Nevis is an English speaking independent nation in the Leeward and Windward Islands of the Eastern Caribbean, approximately 2000 kilometers south-east of Miami. The population of St. Kitts is approximately 35,000 and Nevis is 8,500. The climate is excellent with tropical temperatures and cooling breezes.

St. Kitts & Nevis is a popular tourist destination for Americans and Europeans with many fine hotels. Nevis has the Four Seasons, a five star resort, with a world class 18 hole golf course and many luxurious homes around the course.

Nevis has excellent communications with worldwide direct dial and international services via a fibre optic network. There is a turbo-prop airport in Nevis and a jet airport in St. Kitts. There is also a high speed ferry from St. Kitts to Nevis run by the Four Seasons Hotel, as well as a public ferry and frequent local flights.

GOVERNMENT

Nevis was a British colony from 1628 to 1983 when it became independent and joined the Federation of St. Kitts & Nevis. The Federation is an active member of the British Commonwealth. St. Kitts & Nevis is a multi-party parliamentary democracy on the British model. Nevis also has its' own local Assembly Administration and local government.

St. Kitts and Nevis is a member of the United Nations and other international bodies.

The legal system is based on English common law.

MONETARY SYSTEMS & EXCHANGE CONTROLS

St. Kitts & Nevis is a member of the Eastern Caribbean Central Bank. This is the Central Bank regulating all banks in the English speaking Eastern Caribbean.

The local currency in the Eastern Caribbean is the (EC) dollar but US dollars are widely used and are acceptable everywhere. The EC dollar has been pegged to the US dollar for many years at 1US$ = 2.6882 EC dollars.

There are no exchange controls and funds can be moved freely on and off the island.
